1. Eligibility

• By creating an account, you represent and warrant that you are 18 or older.

2. Description of Service

Prose is a web-based platform that allows users to:

• Create and edit written content
• Interact with AI-powered tools
• Generate, refine, and explore storytelling content

3. User Accounts

You are responsible for:

• Maintaining the security of your account
• All activity under your account

You agree not to:

• Share your account credentials
• Use another person’s account without permission

You may delete your account at any time.

4. User Content & Ownership

You retain full ownership of any content you create or upload to Prose.

However, by using Prose, you grant us a non-exclusive, worldwide, royalty-free license to:

• Host, store, process, and display your content
• Use your content to operate and improve the service

5. AI Training & Data Use

We may use your content and interactions with the AI to:

• Improve our models
• Enhance product performance

Important:

• Data used for training is anonymized
• You may opt out of having your data used for training
• We do not sell your data.

6. Acceptable Use

You agree not to use Prose to:

• Create or distribute illegal content
• Harass, abuse, or harm others
• Violate intellectual property rights
• Attempt to exploit or reverse-engineer the platform

We reserve the right to remove content or suspend accounts that violate these rules.

7. Subscriptions & Payments

Prose offers paid subscription plans, including:

• Mid Tier: $10/month
• Max Tier: $100/month

Billing:

• Subscriptions are billed monthly
• Payments are processed via third-party providers (e.g., Stripe)

Refunds:

All payments are non-refundable, unless required by law.

We may change pricing with reasonable notice.

8. Intellectual Property

All rights to the Prose platform, including:

• Software
• Design
• Branding

are owned by Prose Inc.

You may not copy, modify, or distribute any part of the platform without permission.

9. Third-Party Services

We use third-party providers, including:

• Stripe (payments)
• Clerk (authentication)
• Cloudflare (infrastructure)
• PostHog (analytics)
• OpenAI or similar providers (AI functionality)

We are not responsible for third-party services.

10. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Use the platform in a harmful or abusive way

You may stop using the service at any time.

11. Disclaimers

Prose is provided “as is” without warranties of any kind.

We do not guarantee:

• Accuracy of AI outputs
• Continuous availability
• Error-free performance

12. Limitation of Liability

To the fullest extent permitted by law:

Prose Inc. is not liable for:

• Indirect or consequential damages
• Loss of data, profits, or business

13. Changes to Terms

We may update these Terms from time to time.

We will notify users of material changes.

14. Governing Law

These Terms are governed by the laws of the United States.
